
Strategy Inc. sold approximately $2.01 billion of Class A common stock between August 17th and August 23rd, according to a Form 8-K filed Monday.

The company sold 18,261,118 MSTR shares through its at-the-market offering program.
It used $300 million of the net proceeds to increase its USD Reserve and $136.4 million to repurchase 1,431,212 shares of its Variable Rate Series A Perpetual Stretch preferred stock (STRC).
The remainder of the proceeds were allocated to a new account called USD Cash.
As of August 23rd, Strategy reported $5.10 billion in its USD Reserve and $1.59 billion in USD Cash. Both balances included expected proceeds from stock sales that had not yet settled.
The two accounts serve different purposes, according to the filing.
The USD Reserve is designated for preferred-stock dividends and interest payments.
USD Cash may be used for several purposes, including purchasing Bitcoin, meeting financing obligations, repurchasing securities, redeeming convertible notes, and adding funds to the USD Reserve.
The company reported no Bitcoin purchases or sales during the week.
Its holdings remained at 840,447 Bitcoin, acquired for a total of approximately $63.36 billion, including fees and expenses. The reported average acquisition price was $75,385 per Bitcoin.
Those holdings represent approximately 4% of Bitcoin’s maximum supply of 21 million coins.
The percentage compares Strategy’s holdings with the protocol’s total supply limit, including Bitcoin that has not yet been mined.
Executive Chairman Michael Saylor reported on X that the company had approximately zero net leverage.
The Form 8-K did not define that measure or provide a calculation supporting it.
After the STRC transactions, Strategy had $516.6 million remaining under its preferred-stock repurchase authorization.
The company also retained a separate authorization to repurchase as much as $1 billion of MSTR common stock.
Strategy did not sell any of its preferred securities through its at-the-market programs during the reporting period.
As of August 23rd, the company reported approximately $19.69 billion of MSTR issuance capacity and $25.24 billion of combined capacity across four preferred-stock programs.
